Terms of Service
Welcome to Aerca. These Terms of Service ("Terms" or "Agreement") govern your access to and use of the Aerca website, software platform, applications, and any related services (collectively, the "Services"), including your participation in our waitlist and founding-access program. Please read these Terms carefully. By accessing or using our Services, you agree to be bound by this Agreement.
Aerca currently refers to an unincorporated project operating from India. Separate company, pilot, and commercial terms may replace or supplement these Terms before paid services or production financial-data processing begin.
1. Agreement to Terms and Services Overview
Aerca is developing finance-operations software for service businesses, starting with agencies, studios, and consultancies. The product is in early development. Current Services consist primarily of this website, an unpaid founding-access application, product research, and limited prototype or design-partner activity. Features, availability, integrations, and release timing may change as the product develops. If you do not agree to these Terms, you must not use the Services.
2. Account Eligibility, Registration, and Authority
Our Services are strictly business-to-business (B2B). You must be at least eighteen (18) years of age and possess the legal capacity to enter into a binding contract to use Aerca. By opening an account or reserving a seat on behalf of a business, agency, corporate entity, or other organization, you represent and warrant that you are an authorized representative of that entity with the explicit authority to bind the entity to these Terms. You agree to provide accurate, current, and complete information during registration and to maintain the security of your account credentials. You are solely responsible for all activities that occur under your account. Aerca reserves the right to suspend or terminate accounts that provide false, misleading, or outdated information.
3. Founding-Access Application
Applying for founding access is free and creates no obligation to purchase future Services. An application registers your interest and helps us evaluate design-partner fit, but it does not guarantee acceptance, beta access, a specific feature, a release date, or future pricing. We may manage applications and pilot admissions at our discretion. You may opt out of non-essential communications at any time.
4. Design-Partner Access and Fees
Selected applicants may be invited to test limited prototype or beta workflows and provide feedback as design partners. The following terms apply:
- No Current Charge: Applying for or participating in the current founding-access process does not require a card, deposit, or subscription.
- No Guaranteed Access: We may accept, pause, limit, or end prototype and beta participation based on product readiness, security, capacity, and fit.
- Early-Stage Software: Prototype and beta features may be incomplete, contain errors, change materially, or become temporarily unavailable.
- Future Commercial Terms: Any future paid pilot or subscription will be governed by pricing, billing, cancellation, and refund terms presented before payment is accepted.
- Feedback: Design partners may be asked to provide workflow information, sample data, interviews, and product feedback, subject to the privacy and confidentiality terms disclosed for the pilot.
5. Privacy, Data Protection, and Security
We process personal and corporate data as described in our Privacy Policy and describe current and planned safeguards in our Data Security page. Because Aerca is still in development, you should not provide unnecessary sensitive, regulated, or production financial data unless we have expressly agreed to an appropriate pilot workflow and data-handling arrangement.
6. Acceptable Use and Prohibited Activities
You agree to use Aerca solely for its intended lawful, commercial purposes. You are strictly prohibited from engaging in any of the following activities:
- Attempting to probe, scan, or test the vulnerability of any Aerca system or network, or breaching any security or authentication measures.
- Interfering with, or attempting to interfere with, the access of any user, host, or network, including sending a virus, overloading, flooding, or spamming the Services.
- Using the Services to facilitate illegal transactions, money laundering, fraud, or the financing of illicit activities.
- Reverse-engineering, decompiling, disassembling, or otherwise attempting to derive the source code or underlying algorithms of the Aerca platform.
- Automated scraping, data harvesting, or utilizing any API outside of our officially documented developer guidelines.
Aerca reserves the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates this provision, including without limitation, reporting you to law enforcement authorities.
7. Third-Party Integrations and Financial Data
Aerca may support user-imported files and, in future releases, authorized connections to accounting, project-management, time-tracking, invoicing, email, payment, or AI providers. Your use of a third-party service remains governed by that provider's terms and policies. Aerca is designed to prepare and explain client-facing or money-related actions, while requiring human approval before execution. We are not responsible for third-party downtime, API changes, provider decisions, or inaccurate source data.
8. Intellectual Property and Proprietary Rights
The Services, including their "look and feel," design, text, graphics, algorithms, software, and underlying codebase, are the exclusive intellectual property of Aerca and its licensors, protected by copyright, trademark, patent, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the platform strictly in accordance with these Terms. You retain full ownership of the raw financial data and content you input into the system. If you provide us with any feedback, suggestions, or ideas regarding the Services, you grant us a perpetual, worldwide, irrevocable, royalty-free license to use and incorporate such feedback without compensation to you.
9. Disclaimers: Assistive AI CFO and Decision Support
Aerca is designed as an assistive finance-operations system, not a substitute for professional judgment. Aerca is a software provider, not a bank, lender, certified public accountant, registered financial adviser, law firm, or tax adviser. Its forecasts, classifications, suggestions, and drafts may be incomplete or inaccurate and do not constitute accounting, investment, lending, tax, or legal advice. You remain responsible for verifying information and approving invoices, messages, financial decisions, and payments. Any future embedded-finance offering would be provided subject to separate terms and eligibility decisions by appropriately regulated financing partners. The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
10. Limitation of Liability
To the fullest extent permitted by applicable law, in no event shall Aerca, its affiliates, directors, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of business opportunity, loss of data, or business interruption, arising out of or in connection with these Terms or your use of the Services. In no event shall our aggregate cumulative liability exceed the greater of one hundred U.S. dollars ($100) or the total amount you paid to Aerca in the twelve (12) months immediately preceding the claim.
11. Indemnification
You agree to defend, indemnify, and hold harmless Aerca, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the Services; (b) your violation of these Terms; (c) your violation of any third-party right, including intellectual property or privacy rights; or (d) any claim that your data caused damage to a third party.
12. Governing Law and Disputes
Until Aerca adopts separate commercial terms through a formed company, these Terms are governed by the applicable laws of India, without limiting any mandatory rights that apply in your jurisdiction. Courts with lawful jurisdiction over Ghaziabad, Uttar Pradesh will have jurisdiction over disputes arising from the current website and unpaid founding-access process, unless the parties agree otherwise in writing. This section may be updated before paid or incorporated operations begin.
13. Modifications to the Service and Terms
Aerca operates in a dynamic, fast-evolving technological environment. We reserve the right to modify, suspend, or discontinue any part of the Services at any time. Furthermore, we may revise these Terms from time to time. The most current version will always be posted on this page with an updated "Last updated" date. If a revision is material, we will provide you with reasonable advance notice (e.g., via email). Your continued use of the Services following the posting of updated Terms constitutes your binding acceptance of the changes.
